Terms of Service

1. Agreement to Terms
By accessing or using FiqhEngine ("Platform", "Service", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
Important: These Terms constitute a legally binding agreement between you and FiqhEngine Ltd.
Platform Clarification: FiqhEngine is a workflow management platform and software tool. We do NOT provide Shariah advisory services. Your organization (advisory firm, bank, fund manager, sukuk issuer, takaful operator, or other financial institution) uses our platform to manage your own Shariah advisory and compliance workflows. All Shariah opinions, fatwas, and advisory services are provided by your organization's qualified scholars and consultants, not by FiqhEngine Ltd.
2. Definitions
- "Platform": The FiqhEngine software and workflow management system
- "Client" or "Institution": An organization using the Platform, including but not limited to: Shariah advisory firms, Islamic banks, fund managers, sukuk issuers, takaful operators, and other financial institutions requiring Shariah compliance management
- "User": Any individual with an account on the Platform (including employees of Client organizations, consultants, or prospects)
- "Prospect": A potential client organization that has submitted an engagement request to evaluate the Platform
- "Consultant": A Shariah advisor, scholar, or compliance professional employed by or contracted to a Client organization who uses the Platform
- "SSB": Shariah Supervisory Board members appointed by Client organizations
- "Engagement": A project, product review, audit, or compliance workflow managed through the Platform
- "Content": All information, data, documents, and materials uploaded to or created on the Platform by Users
3. Eligibility
You must be:
- At least 18 years of age
- Authorized to represent your organization (if applicable)
- Capable of forming a binding contract under applicable law
By creating an account, you represent and warrant that you meet these requirements.
4. Account Creation and Security
4.1 Account Registration
When you create an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Accept our Privacy Policy
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access
4.2 Account Types
- Prospect Accounts: Created when an organization submits an engagement request to evaluate the Platform. Limited access until subscription is confirmed.
- Client/Institution Accounts: Full access to the Platform for managing Shariah advisory workflows, document sharing, and collaboration tools.
- Consultant Accounts: Created by Client organizations for their Shariah advisors, scholars, and compliance professionals.
4.3 Account Termination
We reserve the right to suspend or terminate your account if you:
- Violate these Terms
- Provide false or misleading information
- Engage in fraudulent or illegal activities
- Fail to pay for services rendered
You may request account deletion at any time through your Privacy Dashboard, subject to our data retention obligations.
5. Platform Services
Important: FiqhEngine provides workflow management software only. We do NOT provide Shariah advisory services, fatwas, or compliance opinions. All such services are provided by your organization's qualified personnel.
5.1 Software and Platform Features
The Platform provides tools for:
- Engagement and project management for Shariah compliance workflows
- Secure document storage and sharing
- Communication and collaboration between team members
- Audit procedure tracking and documentation
- Compliance reporting and record-keeping
- Knowledge base management for research and fatwas
- Transaction sampling and testing workflows
- Product structure documentation and version control
- AI-assisted analysis, report generation, and document processing
5.2 Use of Artificial Intelligence
The Platform incorporates artificial intelligence (AI) and machine learning technologies to assist with analysis, report generation, document processing, and other features.
By using the Platform, you acknowledge and agree that:
- AI-generated content is provided as a tool to assist your organization's qualified personnel and does NOT constitute professional advice, Shariah opinions, or fatwas
- All AI-generated analysis, reports, and suggestions must be reviewed, verified, and approved by qualified human professionals before being relied upon or shared with third parties
- AI systems may produce errors, inaccuracies, hallucinations, or incomplete information
- You are solely responsible for verifying the accuracy and appropriateness of any AI-generated content
- FiqhEngine is not liable for any decisions made based on AI-generated content without proper human review and validation
- AI models are trained on historical data and may not reflect the most current Shariah standards, regulations, or market conditions
- You must not use AI-generated content as a substitute for qualified Shariah scholars' judgment and expertise
5.3 Client Responsibilities
Your organization is solely responsible for all Shariah advisory services, including:
- Employing or contracting qualified Shariah scholars and advisors
- Issuing fatwas, Shariah opinions, and compliance rulings
- Conducting institutional audits and reviews
- Ensuring compliance with applicable Shariah standards
- Maintaining professional indemnity insurance for advisory services
5.4 Platform Availability
We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We are not liable for:
- Scheduled maintenance downtime (with advance notice)
- Force majeure events beyond our reasonable control
- Third-party service provider outages
- Internet connectivity issues
6. Fees and Payment
6.1 Subscription Fees
- Platform subscription fees are agreed upon in individual Service Agreements
- Payment terms are specified in each Service Agreement
- Fees are typically billed monthly or annually in advance
- Late payments may incur late payment penalties as specified in your Service Agreement
- We reserve the right to suspend Platform access for non-payment after 30 days notice
6.2 Platform Access Tiers
- Subscription tiers are based on number of users, storage, and features required
- Prospect accounts have limited access for evaluation purposes
- We reserve the right to modify pricing with 90 days advance notice to existing subscribers
6.3 Refund Policy
Subscription fees are non-refundable except where required by law. You may cancel your subscription at any time, effective at the end of the current billing period.
7. Intellectual Property
7.1 FiqhEngine IP
We retain all rights to:
- The Platform and its underlying technology
- FiqhEngine branding, logos, and trademarks
- Research methodologies and frameworks
- Template documents and forms
7.2 Client Content
You retain ownership of:
- Documents and data you upload
- Your organization's proprietary information
- Product structures you develop
You grant us a limited license to use your Content solely to provide our services.
7.3 Derived Data
We may create anonymized, aggregated data from Client Content for industry research, service improvement, and market analysis. This Derived Data is our property and contains no personally identifiable information.
8. Confidentiality
8.1 Our Obligations
We will treat all Client information as confidential, implement appropriate security measures, limit access to authorized personnel only, and not disclose information without your consent (except as required by law).
8.2 Your Obligations
You agree to keep your account credentials confidential, not share access with unauthorized individuals, and protect sensitive documents uploaded to the Platform.
8.3 Exceptions
Confidentiality does not apply to information that is publicly available, was known to us before disclosure, is independently developed by us, or must be disclosed by law or regulation.
9. Prohibited Uses
You may not:
- Use the Platform for illegal purposes
- Upload malicious code or viruses
- Attempt to breach security measures
- Impersonate others or misrepresent your identity
- Scrape or harvest data from the Platform
- Interfere with other users' access
- Reverse engineer the Platform
- Use the Platform to compete with FiqhEngine
10. Disclaimers
10.1 Platform Availability
The Platform is provided "AS IS" and "AS AVAILABLE". We do not guarantee uninterrupted access, error-free operation, compatibility with all devices, or specific uptime percentages beyond what is specified in your Service Agreement.
10.2 No Advisory Services
FiqhEngine does NOT provide Shariah advisory services, fatwas, or compliance opinions. We provide software only.
All Shariah advisory services, opinions, fatwas, and compliance rulings are provided by your organization's qualified personnel. FiqhEngine is not responsible for:
- The accuracy or validity of Shariah opinions issued by Users
- Compliance with Shariah standards or regulatory requirements
- Outcomes of audits, product approvals, or regulatory submissions
- Commercial success or failure of products managed through the Platform
- Decisions made by your organization based on data in the Platform
10.3 AI-Generated Content
AI-generated content is provided "AS IS" without warranties of any kind.
We specifically disclaim any warranties that AI-generated content:
- Is accurate, complete, or error-free
- Complies with current Shariah standards or regulatory requirements
- Is suitable for any particular purpose or use case
- Reflects the most current legal, regulatory, or market conditions
- Is free from bias, hallucinations, or inappropriate content
- Can be relied upon without independent verification by qualified professionals
You acknowledge that AI is a tool only and all final decisions, opinions, and advice must come from qualified human professionals.
10.4 Data Accuracy
You are responsible for the accuracy and completeness of all data entered into the Platform. We do not verify, validate, or endorse any Content uploaded by Users.
11. Limitation of Liability
11.1 Platform Liability
To the maximum extent permitted by law:
- Our total liability for Platform defects or service interruptions shall not exceed the subscription fees paid in the 12 months prior to the claim
- We are not liable for indirect, incidental, or consequential damages
- We are not liable for loss of profits, data, or business opportunities
- Force majeure events excuse performance
11.2 No Liability for AI-Generated Content
FiqhEngine has NO liability for any errors, inaccuracies, omissions, or inappropriate content in AI-generated analysis, reports, or suggestions.
We are specifically not liable for:
- Decisions made based on AI-generated content without proper human review
- Financial losses resulting from reliance on AI analysis or recommendations
- Regulatory non-compliance due to AI-generated content errors
- Reputational damage from AI-generated content that is inaccurate or inappropriate
- AI hallucinations, biases, or outputs that do not align with Shariah principles
- Any use of AI-generated content without verification by qualified professionals
11.3 No Liability for Advisory Services
FiqhEngine has NO liability for Shariah advisory services, opinions, fatwas, or compliance rulings, as we do not provide such services.
Your organization and its qualified personnel are solely responsible and liable for all advisory services provided using the Platform.
11.4 Exceptions
Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or death/personal injury.
12. Indemnification
You agree to indemnify and hold harmless FiqhEngine, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your violation of these Terms
- Your violation of applicable laws or regulations
- Your infringement of third-party intellectual property rights
- Your use or misuse of the Platform
- Any Shariah advisory services, opinions, or fatwas provided by your organization or personnel
- Any claims by third parties related to products or services managed through the Platform
- Reliance on AI-generated content without proper verification by qualified professionals
- Distribution or use of AI-generated content as final advice or opinions without human review
- Any decisions made based on AI-generated analysis, reports, or suggestions
- Data breaches caused by your security failures
- Claims that AI-generated content caused financial loss, regulatory violations, or reputational damage
13. Data Protection
We process your personal data in accordance with our Privacy Policy and applicable data protection laws (UK GDPR, DIFC Data Protection Law).
Your rights include access to your data, rectification of inaccurate data, erasure (subject to legal obligations), data portability, and objection to processing. See our Privacy Policy for full details.
14. Modifications to Terms
We may update these Terms from time to time. We will notify you of material changes via email, post the updated Terms on the Platform, require re-acceptance for significant changes, and provide 30 days notice before changes take effect. Continued use after changes constitutes acceptance.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms are governed by the laws of England and Wales.
15.2 Dispute Resolution
In the event of a dispute:
- Negotiation: Parties will attempt good-faith negotiation
- Mediation: If negotiation fails, non-binding mediation
- Arbitration: Binding arbitration under LCIA rules (London)
- Jurisdiction: Courts of England and Wales (for non-arbitrable matters)
16. General Provisions
These Terms, together with our Privacy Policy and any Terms of Engagement, constitute the entire agreement. If any provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce any right does not constitute a waiver. You may not assign these Terms without our written consent. Neither party is liable for delays caused by events beyond reasonable control.
